1. Agreement to These Terms
By accessing or using JoB Payroll (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Reid Tech Solutions, Inc., a California corporation ("Company," "we," "us," or "our"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Description of the Service
JoB Payroll is a payroll calculation and compliance-tracking software application. The Service enables users to:
Calculate gross pay, tax withholdings, and net pay for employees
Generate payroll records, paystubs, and check printing data
Track federal and California state payroll tax deadlines
Maintain employment and payroll records
The Service does not: file any tax returns or forms on your behalf; transmit, process, or move any funds; provide legal, accounting, or tax advice; or guarantee that your use of the Service will result in compliance with any applicable law, regulation, or agency requirement.
3. User Responsibilities
3.1 Accuracy of Inputs
You are solely responsible for the accuracy, completeness, and legality of all data you enter into the Service, including but not limited to employee information, compensation details, tax elections, and filing status. The Service performs calculations based entirely on the information you provide. Errors or omissions in your inputs will produce incorrect outputs. We are not responsible for any consequences arising from inaccurate or incomplete data entry.
3.2 Tax Filings and Payments
You are solely responsible for timely filing all required payroll tax returns and remitting all payroll taxes, penalties, and interest owed to the Internal Revenue Service, the California Employment Development Department, the California Franchise Tax Board, and any other applicable federal, state, or local taxing authority. The Service tracks deadlines as a convenience tool only. Deadline information displayed in the Service may not reflect recent regulatory changes, holiday adjustments, or your specific circumstances. You should independently verify all filing deadlines with the applicable agency or a qualified tax professional.
3.3 Compliance with Law
You are responsible for ensuring that your use of the Service and your payroll practices comply with all applicable federal, state, and local laws, including but not limited to the Internal Revenue Code, the Federal Insurance Contributions Act (FICA), the Federal Unemployment Tax Act (FUTA), the California Labor Code, and the California Unemployment Insurance Code. Laws and regulations change frequently. We do not guarantee that the Service reflects the most current legal requirements, and you should consult a qualified professional to confirm compliance with current law.
3.4 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication methods. You agree to notify us immediately of any unauthorized access to your account. We are not liable for any loss resulting from unauthorized account access caused by your failure to maintain reasonable security practices.
4. Check Printing and Check Stock
JoB Payroll prints payroll information — including net pay amounts, deduction details, and employer information — onto check stock that you provide. The Service does not supply, fulfill, or ship check stock of any kind.
You are solely responsible for sourcing check stock that is compatible with the Service's print format and that complies with all applicable requirements, including but not limited to:
MICR (Magnetic Ink Character Recognition) encoding requirements imposed by your financial institution
Any security features required by your bank or applicable regulation
Physical check dimensions and layout specifications compatible with the Service's output
Compliant check stock is available from your financial institution or from licensed check printing vendors. We make no representation that any particular check stock is compatible with the Service, and we are not liable for checks that fail to process due to incompatible, damaged, or non-compliant check stock.
5. No Professional Advice
Nothing in the Service, its outputs, its documentation, or any communications from us constitutes legal, tax, accounting, or financial advice. Information provided by the Service is for general informational and operational purposes only. You should consult a licensed attorney, certified public accountant, or other qualified professional for advice specific to your situation.
6. Payment and Billing
Access to the Service requires a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. Subscription fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. We reserve the right to modify subscription pricing upon reasonable advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
If payment fails, we may suspend or terminate your access to the Service until outstanding amounts are paid. You are responsible for all taxes assessed on your subscription, excluding taxes on our net income.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE TAX CALCULATIONS, DEADLINE INFORMATION, OR OTHER OUTPUTS GENERATED BY THE SERVICE ARE ACCURATE, COMPLETE, OR CURRENT.
Some jurisdictions do not allow the exclusion of implied warranties. To the extent such warranties cannot be disclaimed under applicable law, they are limited to the maximum extent permitted.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REID TECH SOLUTIONS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TAX PENALTIES, INTEREST, FINES, OR OTHER AMOUNTS OWED TO ANY GOVERNMENT AGENCY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. To the extent such limitations are not permitted under applicable law, our liability will be limited to the maximum extent permitted.
9. Indemnification
You agree to indemnify, defend, and hold harmless Reid Tech Solutions, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) inaccurate or incomplete data you provide to the Service; (d) your failure to timely file any tax return or remit any tax payment; or (e) your violation of any applicable law or the rights of any third party.
10. Intellectual Property
The Service, including its software, design, content, and documentation, is owned by Reid Tech Solutions, Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business payroll operations during the term of your subscription. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works of any part of the Service.
You retain ownership of the data you enter into the Service. By entering data, you grant us a limited license to process that data solely for the purpose of providing the Service to you.
11. Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms, non-payment, or conduct we determine is harmful to other users or to the Service.
Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 9, 10, 12, and 13 survive termination of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Placer County, California, and you consent to personal jurisdiction in those courts.
Informal Resolution: Before filing any formal legal claim, you agree to contact us via our Contact page and attempt to resolve the dispute informally for at least thirty (30) days.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, for material changes, notify you by email or by a notice within the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
